Terms of Service

1. Agreement to Terms

By accessing and using Kara&Weiß services, you accept and agree to be bound by the terms and provision of this agreement.

2. Services

Kara&Weiß provides software development services including but not limited to:

  • Web application development
  • Mobile application development
  • Quality management systems
  • Technical consulting and training
  • E-commerce solutions
  • API development
  • Cloud solutions
  • DevOps and CI/CD services
  • Database design
  • UI/UX design

3. Payment Terms

Our services are provided on a pay-as-you-go basis with the following terms:

  • Hourly rates as specified in our pricing page
  • Payment due within 30 days of invoice date
  • Late payment fees may apply after 30 days
  • All prices are exclusive of applicable taxes

4. Project Scope and Deliverables

Project scope and deliverables will be defined in a separate project agreement or statement of work. Any changes to scope must be agreed upon in writing by both parties.

5. Intellectual Property

Unless otherwise specified in the project agreement:

  • Client retains ownership of all pre-existing intellectual property
  • Kara&Weiß retains ownership of general methodologies and tools
  • Custom code developed specifically for the client will be owned by the client upon full payment

6. Confidentiality

Both parties agree to maintain confidentiality of all proprietary information shared during the course of the project. This obligation survives termination of the agreement.

7. Limitation of Liability

Kara&Weiß's liability is limited to the total amount paid by the client for the specific project. We are not liable for indirect, incidental, or consequential damages.

8. Warranty

We provide a 90-day warranty on all custom code developed. This warranty covers defects in workmanship but not issues arising from third-party software or client modifications.

9. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination, client is responsible for payment of all work completed to date.

10. Governing Law

These terms are governed by German law. Any disputes will be resolved in the courts of Bremen, Germany.
